Terms of Service

1. The agreement

Leedas is a contextual advertising marketplace connecting website publishers with advertisers. By creating an account or using the service, you agree to these Terms and to ourPrivacy Policy. If you use Leedas on behalf of a business, you confirm you have authority to bind that business, and "you" means the business.

2. Accounts

• You must be at least 18 years old.
• The information you give us — your business name, your website, your content categories — must be accurate and kept current. Much of the platform's fairness depends on honest self-classification, and misrepresenting it is grounds for enforcement under Section 9.
• You may sign in with an email address and password or through a supported single sign-on provider (currently Google, Microsoft, and GitHub).
• Every account is protected by two-factor authentication. You are responsible for keeping your credentials, authenticator, and recovery codes secure, and for all activity on your account.
• One organization may act as both publisher and advertiser; the rules for each role apply to the corresponding activity.

3. For publishers

• Your site, your rules. You choose which ad categories you accept, may require manual approval of campaigns before they run on your site, and may reject any campaign or block any advertiser from your inventory at any time, for any reason, except Leedas house advertising as described below. You can pause your ads whenever you want.
• House advertising. Leedas reserves about 1% of impressions on enrolled placements for its own house advertising. Outside that reserved share, house advertising only fills impressions that no eligible paying ad would take. House impressions are not billed and earn no revenue share, never affect auction prices, and still respect your excluded ad categories and your placements' sizes. House advertising cannot be rejected or blocked; enrolling a placement is consent to it.
• Eligibility. You must own or control the sites you enroll and verify that ownership. Only publicly reachable pages can carry compensated placements — advertisers must be able to see where their ads run.
• Placement integrity. Ads must be shown as the platform renders them: visible, unmodified, not stacked, hidden, auto-refreshed, or placed to induce accidental clicks.
• Real traffic only. Generating or buying artificial impressions, clicks, or conversions — by any means, human or automated — is prohibited and forfeits the associated earnings.

4. For advertisers

• Prepay. Campaigns run against a funded balance. You spend only what you deposit; there is no invoicing debt to be surprised by.
• Honest ads. Creatives must accurately represent the destination, and destinations must deliver what the ad offers. Changing a campaign's destination is treated as a new submission and is re-checked.
• Safe formats. Ads are platform-rendered image units. Advertiser-supplied code never executes on a publisher's page.
• Legal products, legal claims. You are responsible for having the rights to your creative content and for your ads' compliance with the laws of wherever you target them, including regulated-industry rules.

5. The economics

• Revenue share. Of every advertiser dollar spent, 80% goes to the publisher and 20% to Leedas. There are no listing fees, no account fees, and no charge to publishers for earning — earnings always accrue at the full revenue-share rate.
• Transaction fees. Moving money into or out of Leedas may carry a transaction fee, set out in the published fee schedule and disclosed before you confirm each transaction. Advertiser deposit and withdrawal fees reflect the payment provider's processing rates for the payment method used plus a Leedas processing fee; provider costs are not absorbed into the revenue share. For publishers, the first payout withdrawal in each calendar month carries no Leedas fee; additional withdrawals in the same month may. Minimum deposit and withdrawal amounts apply and are shown where you transact.
• Transparency. Every balance on Leedas is a projection of an append-only financial ledger. Nothing is edited after the fact, and your dashboard shows the same numbers our books do.
• Settlement. Publisher earnings accrue into roughly 90-day tranches, followed by a settlement period of the same length before payout — expect about six months from your first impression to your first ordinary payout, and a steady cadence after that. This delay exists to absorb fraud reversals and payment disputes so that paid-out money never has to be clawed back.
• Reserves and reversals. Earnings from traffic we determine to be invalid or fraudulent do not mature and are reversed from unsettled balances. Specific disputed amounts may be held in reserve until resolved; the rest of your balance settles normally.
• Advertising credits (promotional or earned) are not money: they are nontransferable, nonredeemable for cash, may expire, and are tracked separately from cash at all times.
• Taxes. You are responsible for your own taxes on amounts you earn or spend. We provide the records and any legally required reporting.

6. Content standards

Leedas does not ban content categories for reputational convenience — legal businesses in sensitive categories are welcome, matched only to publishers who accept those categories. What is never welcome, on either side of the marketplace:

• illegal content, products, or services;
• malware, phishing, forced redirects, or any attempt to compromise users;
• deceptive, fraudulent, or materially misleading advertising;
• content that infringes others' intellectual property;
• miscategorizing your site or your ads to reach audiences that opted out of your category.

Classification is enforced on a best-effort basis. While we make our best efforts — automated and human — to detect content that is not properly classified, we cannot guarantee that all content will be properly classified at the time it is displayed. Detection may happen after display; enforcement under Section 9 applies whenever a violation is found, not only when it is caught in advance.

7. Reporting

Anyone — publishers, advertisers, or platform systems — can report an ad or a site. Serious reports (illegal content, malware) are prioritized and may result in immediate suspension of the reported item while it is reviewed. Reports are weighed, not just counted, so coordinated false-reporting campaigns do not become a censorship tool.

8. Your content and ours

You keep ownership of everything you bring to Leedas — your site content and your creatives. You grant us the license needed to operate the service: to host, display, and deliver your creatives; to fetch and classify the public pages of enrolled sites; and to show advertisers where their ads ran. The Leedas platform, software, and brand are ours; these Terms grant you use of the service, not rights to any of that.

9. Enforcement

• Enforcement is proportional: depending on severity we may warn, pause a campaign or placement, restrict an account, hold settlement in reserve, or suspend or terminate an account. Fraud against the marketplace — fake traffic, self-dealing, circular schemes — is treated as the most severe category.
• Strikes for misclassification. Advertisers who improperly classify their advertising content, visuals, or creatives may receive a strike against their account. An advertiser who receives three strikes for violations of the content standards forfeits access to their account. Strikes are recorded with the evidence that produced them, and a wrongly issued strike can be contested and removed under the review process below.
• Suspended accounts and remaining balance. An advertiser account suspended for policy violations is restricted to its wallet: campaigns stop, and the only available action is withdrawing the remaining deposited balance. The advertiser agrees to pay the transaction fees to withdraw their balance in the event their account is suspended due to policy violations. Withdrawal remains available for one (1) year from the date of suspension; after that period, any remaining balance is handled in accordance with applicable law, including unclaimed-property law where it applies. Publisher earnings already accrued from delivered impressions are unaffected by an advertiser's suspension.
• Admin enforcement actions are recorded in a permanent audit log.
• If you believe an action against your account was wrong, contact us; we will review it and tell you the outcome.

10. Leaving

You may close your account at any time. Ads stop, and your settled and maturing earnings pay out on the normal schedule, minus any amounts legitimately reserved or reversed under Section 5. We may terminate accounts that violate these Terms; even then, lawfully earned amounts settle under the same rules.

11. Disclaimers and liability

Leedas is provided "as is." We do not guarantee uninterrupted service, any particular volume of ad delivery, revenue, or campaign performance. To the fullest extent the law allows, our total liability to you for any claim arising from the service is limited to the greater of one hundred dollars or the fees Leedas earned from your account in the twelve months before the claim; neither party is liable to the other for indirect, incidental, or consequential damages. Nothing here limits liability that cannot lawfully be limited, and nothing here touches our obligation to pay out your properly settled earnings.

You agree to indemnify Leedas against third-party claims arising from your content, your sites, your ads, or your breach of these Terms.

12. Changes and governing law

If we materially change these Terms, we will notify account holders and give notice before the changes take effect; continued use after that is acceptance. Changes never retroactively alter the economics of value already earned or spent.

The operating entity, governing law, and dispute venue will be stated here on completion of legal review, before these Terms take effect.
